Unless we specifically state otherwise, any new features or software that augment or enhance the current version of our Web site or the content and services we offer, including such things as upgrades, fixes or enhancements, are also subject to this Agreement.

RentSelect may update and change any of the terms and conditions contained in this Agreement, including the Privacy Policy, and other policies and guidelines governing our Web site, at any time in our sole discretion. You can always find the most recent version of this Agreement at http://www.RentSelect.com/terms_of_use.php. RentSelect may change this Agreement by posting a new version without notice to you. Use of our Web site after such change constitutes acceptance of such changes. If at any time you do not agree to all of the terms and conditions of this Agreement, as it may change from time to time, immediately terminate your use of the RentSelect Web site.

RentSelect knows that you care how information about you is used and shared. Information collected through our site is subject to our Privacy Policy, posted at http:/ /www.RentSelect.com/privacy.php. This Policy may be revised at any time in RentSelect's sole discretion. You should carefully read the Privacy Policy and periodically review it for any changes or updates. Our Privacy Policy, as it may change from time to time, is considered to be part of this Agreement.

The proprietary software associated with our Web site, which shall be deemed to include any enhancements or modifications thereto and any related documentation, is a copyrighted work. Subject to your compliance with all of the terms and conditions of this Agreement, and in consideration of your promises reflected in this Agreement, RentSelect grants to you a personal, limited, revocable, nonexclusive, nonassignable and nontransferable license to use our Web site and its contents solely as permitted under this Agreement. This license does not entitle you to receive from RentSelect any hard-copy documentation, technical support, telephone assistance, or enhancements or updates. Your license under this Agreement and your access to our Web site continues until it is terminated by either party, without prior notice or liability to either you or RentSelect for such termination. You may terminate this Agreement by discontinuing use of our Web site and all and any of its content. Your license terminates automatically if you violate any term of this Agreement, RentSelect publicly posts a written notice of termination on RentSelect's Web site, or RentSelect emails a notice of termination to you at the email address you use to register (even if email to that address is undeliverable).

All rights not expressly granted to you by the foregoing paragraph are reserved by RentSelect.

Our Web site includes certain interactive features that allow users to post, transmit and receive messages or content on discussion forums, weblogs, newsgroups, chat areas, calendars or other online channels ("Communications"). We do not prescreen or editorially control Communications on our Web site. We reserve the right (but do not assume the responsibility) to block or remove any Communications which we consider in violation of this Agreement or detrimental to the Web site or to any person

Your responsiblities as a user of our Web site are as follows. You agree you shall:

• Represent only yourself on the RentSelect Web site, and no other persons, living, dead, or imagined;
• Provide true, accurate, current and complete information to RentSelect, whether it is the information required for registration to use our Web site, the posting of information about you or your property, or for other purposes, and maintain and promptly update such information to keep it accurate, current and complete;
• Provide all equipment necessary to access the Web and pay any service fees associated with such access;
• Maintain the security of your personal information, including, without limitation, account and login information, passwords and financial information; and
• Immediately notify RentSelect of any unauthorized use of a user's account or any other breach of security known to you.

You agree you may not and will not:

• Decompile, reverse engineer, disassemble, modify, rent, lease, loan, distribute, or create derivative works (as defined by the U.S. Copyright Act) or improvements (as defined by U.S. patent law) from our Web site, or any portion
• Publish or distribute any defamatory, infringing, obscene, indecent or unlawful material or information;
• Defame, abuse, harass, threaten or violate the legal rights of others;
• Send unsolicited e-mail;
• Engage in any commercial purpose, including, but not limited to, advertising or offering to sell any goods or services, except in accordance with this Agreement;
• Upload content of any kind or nature (including files, blog postings or email communications) that contains viruses, corrupted files, or any other similar content that may damage the operation of another's computer;
• Upload files that contain content, software or other material protected by intellectual property laws (or by rights of privacy) unless you own or control the rights thereto or you have received all necessary consent;
• Delete or modify any author attributions, legal notices or other proprietary designations or labels in any content that is uploaded;
• Falsify the origin or source of software or other material contained in any content that is uploaded;
• Upload or download any content that you know, or reasonably should know, cannot be legally distributed via the RentSelect Web site;
• Reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purpose the software, products or services provided by RentSelect or obtained from the RentSelect Web site, except in accordance with this Agreement, without obtaining the express, prior written consent of RentSelect;
• Collect or store personal data about others for any improper or illegal purpose or any purpose other than matching renters, roommates and rentals;
• Use the RentSelect Web site in an automated manner or in any other manner that could damage, disable or otherwise impair RentSelect's systems or services, nor use the RentSelect Web site in any manner that could interfere with any other party's use and enjoyment of RentSelect's systems or services;
• Make repetitive bids or interfere with normal operations, or to make any Communications which are unsolicited bulk advertising or promotional messages ("spam"), so-called "chain letters", pyramid schemes, or make Communications of a promotional nature other than through channels authorized by us;
• Harvest email addresses or instant messaging identifiers;
• Advertise other web sites or services, including rental match-making services; or
• Link to any content or service that violates this Agreement, or display our content within a frame or border, or "deep link" or harvest our content from below our top-most URL (and you will remove any such link to our Web site that we find objectionable promptly upon request).

Our RentSelect Web site, services and products may not be used or exported in any unlawful manner or for any unlawful purpose. You agree to comply with all applicable laws and regulations.

RentSelect may investigate any suspected or reported violation of this Agreement, our policies and guidelines or any complaints, and take any action that we deem appropriate under the circumstances to protect our systems, facilities, users and/or third parties. RentSelect also reserves the right to report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Among other actions, RentSelect may issue warnings, suspend or terminate your access to and use of the Web site, and/or remove or disable access to content hosted on RentSelect's systems. RentSelect reserves the right and has absolute discretion to remove or disable access, screen or edit any content that violates these provisions or is otherwise objectionable. To cooperate with governmental requests, to protect RentSelect's systems and users, to ensure the integrity and operation of RentSelect's business and systems, or in response to subpoenas, court orders, or legal requirements, RentSelect may access and disclose any information it considers necessary or appropriate, including user contact details, IP addressing and traffic information, and usage paths. By using the RentSelect Web site you expressly consent to the foregoing use and disclosure.

All content included on the RentSelect Web site, such as text, graphics, logos, and images, is the property of RentSelect or its content suppliers and protected by United States and international copyright laws. The compilation of all content on the RentSelect Web site is the exclusive property of RentSelect and protected by U.S. and international copyright laws.

"RENTSELECT", the RentSelect logo, and other marks indicated on the RentSelect Web site are trademarks of RentSelect or its affiliates in the United States and other countries. Other RentSelect graphics, logos, scripts, and service names are trademarks or trade dress of RentSelect or its affiliates. RentSelect's trademarks and trade dress may not be used in connection with any product or service that is not RentSelect's, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits RentSelect. All other trademarks not owned by RentSelect or its affiliates that appear on the RentSelect Web site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by RentSelect or its affiliates.

The RentSelect Web site is protected by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the U.S. and other countries. You agree to abide by all applicable proprietary rights laws and other laws, as well as any additional copyright notices or restrictions contained in this Agreement. RentSelect and RentSelect's licensors and other content and data providers ("RentSelect Licensors") own all rights, title, and interest in and to their applicable contributions to the RentSelect Web site. This Agreement grants you no right, title, or interest in any intellectual property owned or licensed by RentSelect, including (but not limited to) the RentSelect Web site and the RentSelect trademarks, and creates no relationship between you and RentSelect's Licensors, or between you and RentSelect with respect to any intellectual property, other than that of RentSelect to licensee.

RentSelect may elect to provide you with customer support and/or software upgrades, enhancements, or modifications for the RentSelect Web site (collectively, "Support"), in its sole discretion, and may terminate such Support at any time without notice to you. RentSelect may change, suspend, or discontinue any aspect of the RentSelect Web site at any time, including the availability of any RentSelect feature, database, or content. RentSelect may also impose limits on certain features and services or restrict your access to parts or all of the RentSelect Web site without notice or liability. RentSelect reserves the right (but no obligation) to send e-mail to you for the purpose of informing you of changes or additions to the RentSelect Web site, or of any RentSelect related products and services.

We reserve the right to manage and operate our system resources and to archive or delete any files stored on our Web site at any time. You are responsible for making back-up copies of any files that you wish to preserve. We may archive or delete files stored in accounts that have not been logged into and are inactive for an extended period of time, as determined by us.

We may act in reliance upon any instruction, information, document, filing, name, email address or user password that meets our automated criteria or which we believe to be genuine. For any password protected areas, we may assume a person entering a user name address and associated password is, in fact, that user or is authorized by that user to act on its behalf. We may assume the latest email addresses and registration information on file with us are accurate and current. When programmed to do so, we may take prescribed actions in the absence of receiving proper and complete contrary instructions.

We may offer users the ability to download software or other digital products and obtain periodic electronic updates to those products. Your use of any such products, updates and related documentation, if any, that you download from our Web site will be governed by any end-user license agreement (EULA) accompanying such materials. In the absence of any such EULA, then upon payment of any applicable fees, you are granted a personal, revocable, non-transferable license to install and use the products and updates on a single computer in support of your own personal or internal business processes; provided, however, that items designated in the documentation as a "web site component" may be incorporated as an integral feature of your web site and made available online (so long as no separate charge is made for use of such component). You may not otherwise transmit, distribute or otherwise make the products or updates available to others. RentSelect reserves the right to charge fees for use of or access to the RentSelect Web site, or RentSelect content, products and services (collectively, "RentSelect Services"), and to change such fees at any time, in RentSelect's sole discretion. Any charges will be disclosed to you before they become effective. Features of our Web site may require the payment of a subscription- based fee or other charges. For subscription-based features, you agree not to allow your account to be used by other persons, including co-workers, for any purpose. We require timely payment of all fees and charges. If you fail to pay applicable fees or charges when due, we may suspend or terminate your account and/or access to services or features. Unless otherwise agreed in writing, all charges are payable in the currency specified in advance, by major credit card, PayPal or Check.

The RentSelect Web site may contain or provide access to links and pointers to Internet sites maintained by third parties. RentSelect does not operate or control in any respect any information, products or services on such third-party sites. Third party links and pointers are included solely for the convenience of users, and do not constitute any endorsement by RentSelect and/or its suppliers. You assume sole responsibility for use of third party links and pointers and any products, services, content or other materials obtained on or through any such sites.

RentSelect does not control the content posted via RentSelect Services by others and, as such, does not guarantee the accuracy, integrity or quality of such content or make any representations or warranties about it. You understand that by using RentSelect Services you may be exposed to content that is inaccurate, misleading, offensive, indecent or objectionable. Under no circumstances will RentSelect be liable in any way for any such content, including, but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content posted, e-mailed or otherwise transmitted via the RentSelect Web site or any component of the RentSelect Services.

RentSelect takes no responsibility and assumes no liability for any content submitted by you or any third party.

RentSelect and any third party who makes content available in conjunction with or through the RentSelect Services disclaim any responsibility for any harm resulting from your use of RentSelect Services and/or any third party software accessed in conjunction with or through the RentSelect Services.

THE RENTSELECT SERVICES AND ANY THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH NO WARRANTIES WHATSOEVER. RENTSELECT AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. RENTSELECT AND ANY THIRD PARTY WHO MAKES ITS SOFTWARE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF RENTSELECT SERVICES AND SUCH THIRD PARTY SOFTWARE.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD AND/OR USE ANY RENTSELECT SERVICES AND ANY THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF RENTSELECT SERVICES OR SUCH THIRD PARTY SOFTWARE. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

UNDER NO CIRCUMSTANCES SHALL RENTSELECT OR ANY THIRD PARTY WHO MAKES ITS SOFTWARE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES BE LIABLE TO ANY USER ON ACCOUNT OF THAT USER'S USE OR MISUSE OF RENTSELECT SERVICES OR SUCH THIRD PARTY SOFTWARE. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF RENTSELECT AND/OR A THIRD PARTY SOFTWARE PROVIDER HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE RENTSELECT SERVICES AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES, FROM INABILITY TO USE THE RENTSELECT SERVICES AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF RENTSELECT SERVICES AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE RENTSELECT SERVICES (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

No advice or information, whether oral or written, obtained by you from RentSelect or any of its employees, agents or affiliates or through the RentSelect Services shall create any warranty not expressly made herein.

RentSelect assumes no responsibility for the deletion or failure to store any user information.

You agree to defend, indemnify, and hold harmless RentSelect and RentSelect Licensors from any claims, costs, losses, damages, judgments and expenses, including but not limited to reasonable attorneys' fees, relating to or arising out of any breach of this Agreement or any use of the RentSelect Services by you, or by any other person using the RentSelect Services through you or using your computer, your (or such other person's) violation of any terms or conditions of this Agreement, your (or such other person's) violation of applicable laws, or your (or such other person' s) violation of any rights of another person or entity.

RentSelect is not a party to any exchange of information or to any subsequent agreement to buy, sell, rent or otherwise exchange goods or services resulting from your or other user’s participation in our Web site. You agree to hold us harmless from and release RentSelect (including our officers, directors, managers, owners, agents and employees) from any and all liability arising out of any dispute that may result from your use of the Web site or any service obtained thereby (including any claim for direct, indirect, incidental or consequential damages or attorney fees, even if we are advised of the possibility of such damage, and whether arising in contract, tort or otherwise). This limitation is independent of remedy limits. If you nevertheless try to involve us in a dispute, you will comply with the Applicable Law provision of this Agreement and pay our costs and expenses, including reasonable legal fees.

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington and the Federal Arbitration Act, without giving effect to any principles of conflicts of laws, and you hereby consent to the exclusive jurisdiction of the state and federal courts sitting in King County, Washington.

You and RentSelect agree any and all disputes and claims relating in any way to this Agreement (including the arbitrability of any claim or dispute and the enforceability of this paragraph), with the exception set forth in the next paragraph, shall be submitted to and resolved by means of confidential arbitration conducted in the State of Washington, King County. If you and RentSelect cannot agree on arbitrators, they shall be appointed by the Presiding Judge of the King County Superior Court. The arbitration shall be conducted under the then prevailing Commercial Arbitration Rules of the American Arbitration Association ("AAA"). You and RentSelect may litigate in court only to compel arbitration under this Agreement or to confirm, modify, vacate or enter judgment on the award rendered by the arbitrator. The arbitration award shall be binding and may be entered as a judgment in any court of competent jurisdiction. This Agreement will not be governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is hereby excluded. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other current or former user of RentSelect Services, whether through class arbitration proceedings or otherwise.

However, to the extent you have in any manner violated or threatened to violate RentSelect's intellectual property rights, RentSelect may seek injunctive or other appropriate relief in any state or federal court in the State of Washington, and you consent to exclusive jurisdiction and venue in such courts.

RentSelect's failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of RentSelect's right to subsequently enforce such right or provision or any other rights or provisions of this Agreement. No waiver of this Agreement shall be effective unless in writing. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

This Agreement (including the RentSelect Privacy Policy) constitutes the entire understanding between the parties respecting use of the RentSelect Services, superseding all prior agreements between you and RentSelect. In the event of any conflict between the terms and conditions of this Agreement and those in the RentSelect Privacy Policy, the terms and conditions of this Agreement will control, except to the extent that the RentSelect Privacy Policy imposes additional restrictions and liabilities on your actions.

RentSelect can send you notice by sending you an email, or by posting on its Web site. If you wish to give a notice to RentSelect (except for notice of copyright infringement, as set forth below), you may do so by either email or regular mail, and your notice will be effective only when received.

The following sections will survive any termination of this Agreement: License; Your Responsibilities; Illegal, Unauthorized or Fraudulent Content or Activities; Enforcement; Copyrights; Trademarks; Sight Links and Content; Disclaimer of Warranties by RentSelect, Limitation of Liability, Indemnification, Disputes Among Users, Ownership and Relation of Parties, Fees and Payments, Content From You, Applicable Law; Jurisdiction and Venue, Arbitration, Waiver; Severability, Complete Agreement, and Surviving Provisions.
